DRAMeXchange reserves the right to change the terms and conditions applicable to use of the Products and Services. The changes shall be effective immediately and be posted on the website.
 Use of Products and Services
DRAMeXchange provides members to use DRAMeXchange Marketing Intelligence and Research data for internal information and communications purposes. The information and materials contained in these pages, and the terms, conditions, and descriptions that appear, are subject to change. Unauthorized use of DRAMeXchange’s web sites and information including but not limited to unauthorized entry into DRAMeXchange's systems, misuse of ID, passwords, and/ or any information posted on a site is strictly prohibited. DRAMeXchange does not allow any external promotion activity use its name and website without permission that given and/ or written by DRAMeXchange.
 Description of Services
Users may download and print extracts of content from this website for their own personal and non-commercial use only. Republication or redistribution of DRAMeXchange's content, including by framing or similar means, is expressly prohibited without the prior written consent of DRAMeXchange. External promotion and usage covers sublicensing, leasing, selling, or offering for sale DRAMeXchange content, as well as any public display, including but not limited to:
- Promotional activities and materials
- Advertising
- Press relationv
- Web sites, postings, and online services
- External presentations
All of the information, sentences, and quotations that are the sources of DRAMeXchange used by individuals must provide the following attribution, "source by DRAMeXchange."
You understand that the Services are provided by DRAMeXchange, and DRAMeXchange does not guarantee the accuracy, integrity or quality of any content available on or through the Services. In this regard, you understand that from time to time, you may communicate with, receive communications from, or otherwise participate in or use the services or obtain goods and services of or from, third parties (e.g., advertisers) as a result of your use of the Services. All such communication, interaction and participation is strictly and solely between you and such third party and DRAMeXchange shall not be responsible or liable to you in any way in connection with these activities or transactions (including, but not limited to, any representations, warranties, covenants, contracts or other terms or conditions that may exist between you and the third party, or any goods or services you may purchase or obtain from any third party). In particular, the appearance or availability of links to third party sites on or through the Services does not constitute an endorsement by DRAMeXchange with respect to the content, advertising, products, or other materials available on or from such sites. You further understand and agree that the Services may include certain communications from DRAMeXchange (such as administrative messages and certain newsletters), and that these communications are considered part of the Service and you may not be able to opt out of receiving them. Unless explicitly stated otherwise, any new features that augment or enhance the current Services shall be subject to the TOS.
 General Rules of Conduct
Your use of the Services is subject to all applicable local, state, national and international laws and regulations, and you agree not to violate such laws and regulations. In addition, you agree that:
- you will not interfere with another member's use and enjoyment of the Services;
- you will not interfere with or disrupt the security measures of the Services;
- you will not interfere with or disrupt networks connected to the Services, and will comply with all regulations, policies and procedures of such networks;
You further agree that you will not use the Services to:
- send or result in the transmission of junk e-mail, chain letters, duplicative or unsolicited messages, or so-called "spamming"
- promote or generate revenue for any business or commercial purposes, whether or not for a charge or through linking with any other web services or pages, unless authorized by DRAMeXchange;
- "stalk" or otherwise harass another; or
- collect or store personal data about other users.
 Forums
Some of our Services give users the opportunity to participate in Forum operated by DRAMeXchange or by a third party. We ask that our users exercise appropriate caution when participating in any type of Forum. In particular, please remember that if you publicly disclose personal identifying information, such as your name or email address, in connection with a Forum, the information may be collected and used by others. You should also take reasonable precautions with regard to any material you download from or through Forums (for example, scanning for viruses or other damaging computer programming routines). Finally, you agree to use the Forums only to send and receive messages and material that are proper and related to that particular Forum.
Forum contains copyrighted material, trademarks and other proprietary information including text, photos, video, graphics, and sound, and the entire contents of the DRAMeXchange are copyrighted as a collective work under the Taiwan R.O.C copyright laws. DRAMeXchange is the owner of the copyright in the entire DRAMeXchange Sites. DRAMeXchange owns a copyright in the selection, coordination, arrangement and enhancement of such content, as well as in the content original to it. Each third party content provider owns the copyright in content original to it. You may not modify, publish, transmit, display, participate in the transfer or sale, create derivative works, or in any way exploit the content of the DRAMeXchange Sites or any portion of it. Except as otherwise expressly permitted under copyright law, you may not copy, redistribute, publish, display or commercially exploit any material from the DRAMeXchange Sites without the express permission of DRAMeXchange and the copyright owner. In the event of any permitted copying, redistribution or publication of material from the DRAMeXchange Sites, no changes in or deletion of author attribution, trademark, legend or copyright notice shall be made. You acknowledge that you do not acquire any ownership rights by downloading copyrighted material. Without limiting the generality of the foregoing, you agree that any text, photo, graphic, audio, and/or video on the DRAMeXchange owned by the Associated Press ("AP") shall not be broadcast, rewritten for broadcast or publication or redistributed directly or indirectly in any media. Neither these AP materials nor any portion thereof may be stored in a computer. AP will not be held liable for any delays, inaccuracies, errors or omissions therefrom or in the transmission or delivery of all or any part thereof or for any damages arising from any of the foregoing. DRAMeXchange content is the intellectual property of DRAMeXchange or its licensors. Any copying, republication or redistribution of DRAMeXchange content, including by caching, framing or similar means, is expressly prohibited without the prior written consent of DRAMeXchange.

 Indemnification
You hereby agree to indemnify, defend and hold DRAMeXchange, its subsidiaries, parent corporation and affiliates, and all of their respective officers, directors, owners, employees, agents, licensors, representatives, licensors and suppliers, harmless from and against any and all liability, losses, expenses, damages and costs (including attorneys' fees), incurred by any DRAMeXchange in connection with any claim arising out of your use of the Services, any use or alleged use of your accounts or your passwords by any person, whether or not authorized by you, the content you submit, post, transmit or make available through the Services, your violation of these TOS, your connection to the Services, or your violation of the rights of any other person or entity.
DRAMeXchange reserves the right to assume, at its sole expense, the exclusive defense and control of any claim, action or other matter for which you are required to indemnify us, and all negotiations for settlement or compromise thereof, and you agree to fully cooperate with DRAMeXchange in the defense of any such claim, action, settlement or compromise negotiations, as requested by DRAMeXchange.

THE SERVICES, AND MATERIALS, PRODUCTS AND POSTINGS ARE MADE AVAILABLE ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY REPRESENTATION, PROMISE OR WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, OR ANY GUARANTY OR ASSURANCE THE SERVICES WILL BE AVAILABLE FOR USE, OR UNINTERRUPTED OR ERROR FREE, OR THAT ALL PRODUCTS, FEATURES, FUNCTIONS OR OPERATIONS WILL BE AVAILABLE OR PERFORM AS DESCRIBED OR THAT ANY ERRORS WILL BE CORRECTED. IN ADDITION, ANY MATERIAL THAT YOU DOWNLOAD OR OTHERWISE OBTAIN THROUGH OUR SERVICES IS DONE AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY POTENTIAL DAMAGES TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM YOUR DOWNLOAD OF ANY SUCH MATERIAL.

DRAMeXchange SHALL NOT BE LIABLE TO THE USER OR ANYONE ELSE FOR ANY INACCURACY, DELAY, INTERRUPTION IN SERVICE, ERROR OR OMISSION, REGARDLESS OF CAUSE, OR FOR ANY DAMAGES RESULTING THEREFROM.
